Welcome to ZIVIS ("we," "our," or "us"). These Terms of Service ("Terms") apply to your use of our website (zivis.ai), our platform, free online tools, and related services (collectively, the "Services"). Paid engagements are governed by separate agreements; these Terms provide general guidelines for all users.
1. Nature of Services
ZIVIS is an AI trust and security platform that pairs security experts with autonomous AI agents. Our platform provides assessment, testing, monitoring, and collaboration capabilities—delivered through a combination of AI-powered automation and human expertise. We also provide advisory services and free online security tools.
AI-Powered Services: Our platform uses AI agents to perform security assessments, vulnerability testing, continuous monitoring, and trust evaluations. Human experts oversee, validate, and guide these AI-driven processes. By using our Services, you acknowledge that AI systems are integral to our service delivery.
We do not guarantee specific outcomes from our Services, and results depend on your organization's implementation of recommendations.
Nature of AI-Generated Results
ZIVIS Services and Tools utilize artificial intelligence, machine learning, and automated analysis techniques. All findings, scores, assessments, and recommendations produced by the platform are probabilistic in nature — they represent statistical likelihoods, not certainties. Results may include:
- False positives (flagging issues that do not exist)
- False negatives (failing to detect issues that do exist)
- Incomplete coverage (not all vulnerabilities, risks, or issues may be identified)
ZIVIS does not guarantee the accuracy, completeness, or reliability of any finding, score, or assessment. Results should be treated as informational inputs to your security decision-making, not as definitive or exhaustive determinations of security posture. You are solely responsible for independently verifying findings and making security decisions for your systems.
Decision-Support Only
You acknowledge that ZIVIS results — whether from paid Services or free Tools — are decision-support aids, not substitutes for professional security judgment. You remain solely responsible for your organization's security posture, remediation decisions, and compliance obligations. ZIVIS shall not be liable for any action taken or not taken based on results provided by the platform.
2. Free Online Tools
ZIVIS provides free online security, AI, and developer tools ("Tools") as a convenience to the public. By using these Tools, you agree to the following:
No Warranty or Guarantee
These Tools are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. ZIVIS makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any Tool results for any purpose.
Not a Substitute for Professional Assessment
Tool results are for informational and educational purposes only. They do not constitute: (a) a security audit, penetration test, or vulnerability assessment; (b) professional security, legal, or compliance advice; (c) certification or attestation of security posture; or (d) any guarantee that your systems are secure, compliant, or free from vulnerabilities.
Limitation of Liability for Tools
ZIVIS shall not be liable for any damages, losses, security incidents, data breaches, or other harm arising from: (a) reliance on Tool results; (b) decisions made based on Tool output; (c) inaccuracies, errors, or omissions in Tool results; (d) any security vulnerabilities, threats, or issues not detected by the Tools; or (e) any use or misuse of the Tools.
Acceptable Use
You agree to use the Tools only for lawful purposes and only on domains, systems, or data you own or have explicit authorization to test or analyze. You shall not use the Tools to scan, probe, or analyze systems without proper authorization.
Public Repository Scanning. Scanning of publicly available open source repositories on platforms such as GitHub does not require ownership or explicit authorization, as the analysis is performed on publicly accessible source code. However, you may not use ZIVIS to scan private repositories without proper authorization from the repository owner.
Data Handling
Some Tools require transmitting data (such as domain names or URLs) to our servers for processing. Client-side tools (such as Base64, JSON formatter, JWT decoder) process data locally in your browser and do not transmit your data to our servers. 2A. Open Source Security Scanning Program
ZIVIS may offer automated security scanning of publicly available open source repositories ("OSS Scanning"). By using or benefiting from OSS Scanning, you agree to the following:
(a) Public Results
Scan results, trust scores, and associated metadata may be made publicly available. By initiating a scan or claiming a project, you acknowledge that results will be visible to the public.
(b) Telemetry & Data Collection
ZIVIS collects telemetry data from OSS Scans, including but not limited to: repository metadata, scan configurations, aggregated finding patterns, and usage analytics. This data is used to improve detection capabilities, generate industry benchmarks, and enhance the platform. See our Privacy Policy for details.
(c) No Endorsement or Certification
A trust score or scan result does not constitute a security certification, endorsement, or guarantee of any project's security posture. Scores are algorithmically generated and probabilistic.
(d) Maintainer Rights
Project maintainers may request removal of public results or dispute specific findings through the process described on the platform.
(e) No Obligation to Scan
ZIVIS reserves the right to decline, suspend, or discontinue scanning of any repository at its sole discretion.
3. Platform Access & Use
Access to the ZIVIS platform is provided under subscription or engagement agreements. By accessing the platform, you agree to the following:
Account Responsibility
You are responsible for maintaining the security of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.
Acceptable Use
You agree to use the platform only for lawful purposes and in accordance with your subscription or engagement agreement. You shall not attempt to reverse-engineer, disrupt, or gain unauthorized access to platform systems.
Service Availability
We strive to maintain platform availability but do not guarantee uninterrupted access. Scheduled maintenance and updates may temporarily affect availability.
Data & Integration
You retain ownership of data you provide to the platform. We process your data solely to deliver the services described in your agreement and our Privacy Policy.
4. Eligibility
You must be at least 18 years old to use our paid Services or to engage with our consulting services on behalf of your organization. Free Tools may be used by individuals of any age, subject to applicable laws.
5. Use of Information
Any materials, reports, or recommendations provided through our Services are for your organization's internal business purposes only. You agree not to resell, republish, or misrepresent our materials without prior written consent.
6. Intellectual Property
All intellectual property rights in the ZIVIS platform, AI Trust Framework, methodologies, free Tools, and related materials remain with ZIVIS. Use of our Services does not transfer ownership of any intellectual property.
7. Confidentiality
We treat information you provide through our Services as confidential. Specific confidentiality obligations for paid engagements are defined in applicable service agreements.
8. Disclaimer of Warranties
ALL SERVICES AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZIVIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ZIVIS DOES NOT WARRANT THAT THE SERVICES OR TOOLS WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
ZIVIS DOES NOT WARRANT THAT THE SERVICES OR TOOLS WILL DETECT ALL VULNERABILITIES, SECURITY ISSUES, MISCONFIGURATIONS, OR RISKS IN ANY SYSTEM, APPLICATION, OR CODEBASE. THE ABSENCE OF A REPORTED FINDING DOES NOT INDICATE THE ABSENCE OF A VULNERABILITY. NO AUTOMATED OR AI-ASSISTED SECURITY TOOL CAN PROVIDE COMPLETE COVERAGE, AND ZIVIS EXPRESSLY DISCLAIMS ANY REPRESENTATION THAT ITS SCANS, ASSESSMENTS, OR SCORES CONSTITUTE A COMPREHENSIVE SECURITY EVALUATION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIVIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE SERVICES OR TOOLS, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL; SECURITY BREACHES OR INCIDENTS; SYSTEM FAILURES OR DOWNTIME; OR ANY DAMAGES RESULTING FROM RELIANCE ON TOOL RESULTS.
For paid Services, direct liability shall be limited to the amount paid for the Services giving rise to the claim. For free Tools, ZIVIS's total liability shall not exceed one hundred US dollars ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless ZIVIS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services or Tools; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your use of Tool results in any manner.
11. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Indiana.
12. Dispute Process for Findings & Scores
If you believe a finding or score is inaccurate, you may submit a dispute through the platform or by contacting security@zivis.ai. ZIVIS will review disputes in good faith but is under no obligation to modify results. Dispute outcomes are at ZIVIS's sole discretion.
13. Changes to Terms
ZIVIS may update these Terms at any time. We will notify users of material changes by updating the "Effective Date" at the top of this page. Continued use of the Services or Tools after changes constitutes acceptance of the updated Terms.
